Terms of Service

By accessing or using HUB TMS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including company administrators and individual users added to a company account.

HUB TMS is a cloud-based transportation management system that provides load management, dispatch, invoicing, payables, IFTA tracking, reporting, and related tools for freight and logistics companies. The Service is provided on a subscription basis.

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Ensuring all users added to your company account comply with these terms
• Notifying us immediately of any unauthorized account access

You must be at least 18 years old and legally authorized to enter into this agreement on behalf of your company.

The Service requires a paid subscription after any applicable trial period. By subscribing, you authorize us to charge your payment method on a recurring basis according to the plan you select.

• Subscriptions automatically renew unless canceled
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• We reserve the right to change pricing with 30 days notice
• All fees are non-refundable except as required by law

Payments are processed by Stripe. By providing payment information, you agree to Stripe's terms of service.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Upload false, fraudulent, or misleading information
• Attempt to reverse-engineer, decompile, or derive source code from the Service
• Use the Service for any purpose other than legitimate freight and logistics operations
• Resell, sublicense, or provide access to the Service to third parties
• Interfere with or disrupt the Service or its infrastructure

The Service, including its design, software, and content, is owned by HUB TMS and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business operations during your subscription period.

The Service may integrate with third-party services such as QuickBooks Online, Stripe, and Resend. Use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

You agree to indemnify and hold HUB TMS harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

We may suspend or terminate your account at any time for violation of these terms, non-payment, or any conduct we determine is harmful to the Service or other users. You may terminate your account at any time by canceling your subscription. Upon termination, you may export your data for 30 days before it is deleted.

We may update these terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated terms.

These terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Los Angeles County, California.
